Firstly, you have to know why you want to upgrade; are there new features? functionalities? company policy? etc?
Secondly, you can run SQL Server Upgrade Advisor and let SQL Server tell you in what shape you are for the upgrade.

Primarily, is the business ready to pay for an upgrade?
Assuming they are, I'm with the last post, Run the Upgrade Advisor first and address any issues it raises. After that. It's just testing and more testing to validate that your code can support the new version.
